These Website Terms of Use ("Terms") govern your access to and use of the website kolayik.co.uk and any associated subdomains and pages (collectively, the "Website"), operated by Kolay IK Limited ("Kolay IK", "we", "us", or "our"), a company registered in England and Wales (Company No. 16968866) with its registered office at Capital Office, 124-128 City Road, London, EC1V 2NX.

By accessing or using the Website, you ("you" or "User") agree to be bound by these Terms. If you do not agree, you must not use the Website.

1. SCOPE AND RELATIONSHIP TO OTHER AGREEMENTS

1.1. These Terms govern your use of the public-facing Website only (including marketing pages, blog, resources, and contact forms).

1.2. Access to and use of the Kolay IK SaaS HR platform ("Platform") is governed by a separate Master Subscription Agreement ("MSA"), together with any applicable Order Form, Data Processing Agreement (DPA), and Acceptable Use Policy (AUP). In the event of any conflict between these Terms and the MSA in relation to Platform use, the MSA shall prevail.

1.3. Our collection and use of personal data via the Website is governed by our Privacy Policy and Cookie Policy, which are incorporated into these Terms by reference.

2. CHANGES TO THESE TERMS

2.1. We may revise these Terms at any time by updating this page. The "Last Updated" date reflects the most recent revision.

2.2. Material changes will take effect upon posting. Your continued use of the Website after changes are posted constitutes acceptance of the revised Terms.

3. WEBSITE AVAILABILITY

3.1. The Website is made available free of charge and for informational purposes only. We do not guarantee that the Website, or any content on it, will always be available, uninterrupted, or error-free.

3.2. We may suspend, withdraw, or restrict the availability of all or any part of the Website for business or operational reasons without notice.

4. PERMITTED USE

4.1. You may use the Website only for lawful purposes. You must not use the Website:

  • In any way that breaches any applicable local, national, or international law or regulation.
  • In any way that is unlawful or fraudulent, or has any unlawful or fraudulent purpose or effect.
  • To transmit, or procure the sending of, any unsolicited or unauthorised advertising or promotional material.
  • To knowingly transmit any data, send or upload any material that contains viruses, trojan horses, worms, time-bombs, keystroke loggers, spyware, adware, or any other harmful programs or similar computer code designed to adversely affect the operation of any computer software or hardware.

4.2. You must not attempt to gain unauthorised access to the Website, the server on which the Website is stored, or any server, computer, or database connected to the Website. You must not attack the Website via a denial-of-service attack or a distributed denial-of-service attack.

4.3. You must not conduct vulnerability scans, penetration tests, or automated scraping of the Website without our prior written consent. Bona fide security research should be reported to security@kolayik.co.uk.

4.4. By breaching this Clause 4, you may commit a criminal offence under the Computer Misuse Act 1990. We will report any such breach to the relevant law enforcement authorities and will co-operate with those authorities by disclosing your identity to them.

5. INTELLECTUAL PROPERTY RIGHTS

5.1. We are the owner or the licensee of all intellectual property rights in the Website, and in the material published on it. Those works are protected by copyright laws and treaties around the world. All such rights are reserved.

5.2. You may print one copy, and may download extracts, of any page(s) from the Website for your personal use, and you may draw the attention of others within your organisation to content posted on the Website.

5.3. You must not modify the paper or digital copies of any materials you have printed off or downloaded in any way, and you must not use any illustrations, photographs, video or audio sequences, or any graphics separately from any accompanying text.

5.4. Our status (and that of any identified contributors) as the authors of content on the Website must always be acknowledged.

5.5. You must not use any part of the content on the Website for commercial purposes without obtaining a licence to do so from us or our licensors.

5.6. "Kolay IK", the Kolay IK logo, and related marks are trade marks of Kolay IK Limited or its affiliates. You must not use these marks without our prior written permission.

6. USER-SUBMITTED CONTENT

6.1. If you submit any content to the Website (for example, via contact forms, chat widgets, or newsletter sign-ups), you grant us a worldwide, non-exclusive, royalty-free, transferable licence to use, reproduce, and distribute that content in connection with operating the Website and responding to your enquiry.

6.2. You warrant that any content you submit is accurate, does not infringe any third-party rights, and complies with these Terms and applicable law.

7. NO RELIANCE ON INFORMATION

7.1. The content on the Website is provided for general information only. It is not intended to amount to advice on which you should rely. You must obtain professional or specialist advice before taking, or refraining from, any action on the basis of the content on the Website.

7.2. Although we make reasonable efforts to update the information on the Website, we make no representations, warranties or guarantees, whether express or implied, that the content on the Website is accurate, complete, or up to date.

7.3. Product descriptions, pricing guides, feature lists, and marketing materials on the Website do not constitute a contractual offer. Any commercial relationship with Kolay IK is established solely through a signed Order Form and MSA.

8. THIRD-PARTY LINKS AND RESOURCES

8.1. Where the Website contains links to other sites and resources provided by third parties, these links are provided for your information only. Such links should not be interpreted as approval by us of those linked websites or information you may obtain from them.

8.2. We have no control over the contents of those sites or resources and accept no responsibility for them or for any loss or damage that may arise from your use of them.

9. LIMITATION OF LIABILITY

9.1. Nothing in these Terms excludes or limits our liability for:

  • Death or personal injury caused by our negligence.
  • Fraud or fraudulent misrepresentation.
  • Any other liability that cannot be excluded or limited under English law.

9.2. To the extent permitted by law, we exclude all conditions, warranties, representations or other terms which may apply to the Website or any content on it, whether express or implied.

9.3. We will not be liable to any User for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with:

  • Use of, or inability to use, the Website; or
  • Use of or reliance on any content displayed on the Website.

9.4. In particular, we will not be liable for:

  • Loss of profits, sales, business, or revenue.
  • Business interruption.
  • Loss of anticipated savings.
  • Loss of business opportunity, goodwill, or reputation.
  • Any indirect or consequential loss or damage.

9.5. The limitations in this Clause 9 apply only to use of the Website. Liability in respect of the Platform is governed by the MSA.

10. VIRUSES AND SECURITY

10.1. We do not guarantee that the Website will be secure or free from bugs or viruses. You are responsible for configuring your information technology, computer programmes, and platform to access the Website, and for using your own virus protection software.

11. JURISDICTION AND GOVERNING LAW

11.1. These Terms, their subject matter, and their formation are governed by English law. You and we both agree that the courts of England and Wales will have exclusive jurisdiction, except that if you are a resident of Northern Ireland or Scotland, you may also bring proceedings in your local courts.
